Terms of Service

These Terms of Service ("Terms") govern your access to and use of BioAlma's AI-powered intelligence platform ("Service") operated by BioAlma ("we", "our", or "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Eligibility

You must be at least 18 years old and authorized to act on behalf of your organization to use the Service. By using the Service, you represent that you meet these requirements.

2. Accounts and Access

• Access to the Service is granted on a per-organization basis through invitation or subscription.
• You are responsible for maintaining the security of your account credentials.
• You may not share your account access with unauthorized individuals.
• We reserve the right to suspend or terminate accounts that violate these Terms.

3. Subscription and Payment

• Paid plans include a 7-day free trial with full access. A valid payment method is required at signup.
• Subscriptions automatically renew unless cancelled before the renewal date.
• All fees are non-refundable except as required by law.
• We may change pricing with 30 days' notice to active subscribers.

4. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose or in violation of any regulations.
• Attempt to gain unauthorized access to any part of the Service or its infrastructure.
• Reproduce, distribute, or resell the Service or its outputs without written permission.
• Use the Service to develop competing products or services.
• Upload malicious code or interfere with the Service's operation.

5. Intellectual Property

All content, software, and technology comprising the Service is owned by BioAlma or its licensors. Your use of the Service does not grant you any ownership rights. You retain ownership of data you provide to the Service ("Client Data").

6. Client Data

You grant BioAlma a limited license to process your Client Data solely to provide and improve the Service. We do not sell Client Data to third parties. You represent that you have the rights to provide any data you submit to the Service.

7. AI-Generated Content

The Service uses artificial intelligence to generate insights and analysis. AI-generated content may contain errors or inaccuracies. You are responsible for independently verifying any information before making business decisions based on it.

8. Confidentiality

Each party agrees to keep the other's confidential information confidential and not to disclose it to third parties without prior written consent.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. BIOALMA DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BIOALMA SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

11. Termination

Either party may terminate the agreement with 30 days' written notice. We may terminate immediately for material breach of these Terms. Upon termination, your access to the Service will cease and we will retain your data for 90 days before deletion.

12. Governing Law

These Terms are governed by the laws of the State of California, United States, without regard to conflict of law principles.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes with at least 30 days' notice. Continued use of the Service after changes constitutes acceptance of the new Terms.
